These Restaurant Terms are an agreement between TasteRex LLC (“TasteRex”, “we”, “us”) and the business you represent (“Restaurant”, “you”) for the use of the restaurant portal at business.tasterex.com and related features (the “Portal”). They add to our Terms of Service, which also apply. If the two conflict, these Restaurant Terms govern your use of the Portal.
The person accepting these terms confirms that they have authority to bind the Restaurant.
1. Claiming a restaurant
- Authority. You may claim a restaurant only if you are its owner, or an employee or agent authorised by the owner to manage its public listings. For a franchise location, you confirm you have the franchisor’s permission where your franchise agreement requires it.
- Verification. We verify claims by a code sent to an email address on the restaurant’s own website domain, a code given by phone call to the restaurant’s listed number, or by reviewing business documents. A person at TasteRex approves every claim. We may ask for more information, refuse a claim, or remove access if we later learn it was not authorised.
- Disputes. If more than one person claims the same restaurant, we may suspend access until it’s resolved. We aren’t required to decide ownership disputes between you and others.
- False claims are a serious violation and may be reported to the authorities.
2. Your account and team
You can invite team members to the Portal and choose their role. You are responsible for everything done under your Restaurant’s account, for removing access when someone leaves, and for keeping sign-in methods secure. Portal accounts require two-step sign-in. Tell us right away at restaurants@tasterex.com if you suspect unauthorised access.
3. Your restaurant information
You may add and edit your restaurant’s details, menu, dishes, photos, hours, prices, descriptions and dietary information (“Restaurant Content”). You agree that:
- Restaurant Content will be accurate, kept up to date, and not misleading;
- you have the rights to everything you upload, including photos and logos;
- dish names and descriptions describe the dish as actually served; and
- you will not use Restaurant Content to advertise other businesses, collect diners’ personal information, or link to harmful sites.
Dietary and allergen information
Dietary and allergen details are among the most important things diners rely on. TasteRex shows them only when you supply them, and labels them as coming from the restaurant. By marking a dish (for example “gluten-free”, “vegan”, “contains nuts”, or “can be modified”):
- you confirm the information is accurate for the dish as currently prepared, including cross-contact risks you know of;
- you will update or remove it promptly when recipes, suppliers or preparation change; and
- you, not TasteRex, are responsible for the accuracy of that information and for any harm arising from it. TasteRex does not check it.
Each change you make is logged with who made it and when.
Licence
You keep ownership of Restaurant Content. You give TasteRex a worldwide, non-exclusive, royalty-free licence to host, reproduce, adapt (for example resize or translate), display and distribute Restaurant Content in the Service and in marketing the Service, for as long as it is on TasteRex and for a reasonable time afterwards to remove it from caches and backups. Restaurant edits are protected from being overwritten by our automatic menu updates.
4. Ratings and reviews are the diners’
Rankings are trustworthy only because restaurants can’t influence them. You agree not to:
- rate or review your own restaurant or a competitor, or ask staff, family or friends to do so;
- offer anything of value (money, free food, discounts, entries into a draw) in exchange for a rating, a positive rating or a particular score, or make any perk conditional on one;
- ask diners to change or remove a rating, or threaten diners about their ratings;
- buy, sell or arrange fake ratings, accounts or followers; or
- use reports to remove fair but negative ratings.
You can encourage all diners to rate their meal on TasteRex, as long as you ask everyone (not just happy customers) and offer nothing in return.
Restaurants cannot remove ratings and cannot pay to have them removed. You can report a rating that breaks our Community Guidelines, and it will be reviewed like any other report. These rules also reflect the U.S. Federal Trade Commission’s rule on consumer reviews and testimonials, which prohibits buying, selling and suppressing reviews.
Breaking this section may lead to removal of the affected ratings, a public notice on your page that ratings were manipulated, suspension of your Portal access, and forfeiture of prepaid fees.
5. Plans and billing
- Plans. Claiming and managing your page is free. Some features, such as analytics and sponsored placements, require a paid plan (“Pro”) or a prepaid ad budget. What each plan includes is described in the Portal.
- Payment. Payments are processed by Stripe under Stripe’s terms. You authorise us (through Stripe) to charge your payment method for subscription fees, ad spend and applicable taxes.
- Subscriptions renew automatically each billing period until cancelled. You can cancel anytime in the Portal; the cancellation takes effect at the end of the current period.
- Refunds. Fees are non-refundable except where the law requires or we decide otherwise. Unspent prepaid ad budget is refunded on request when you close your account.
- Price changes. We’ll give at least 30 days’ notice before a price change takes effect for your subscription.
- Taxes. Prices exclude taxes unless stated. You are responsible for taxes other than taxes on our income.
- Late or failed payments may pause paid features until paid.
6. Sponsored placements
- Labelled and separate. Sponsored placements always carry a “Sponsored” label and appear in their own spots in search and discovery. They never change any diner’s ranking or any community score, and you can’t buy a better rank.
- Targeting. You may target by category, dish, and area. You may not target individual users, and we don’t offer targeting based on sensitive information such as dietary or health needs.
- Content rules. Ads must be truthful and about your own restaurant and dishes. Ads must not: make health, nutrition or allergen claims you can’t support; promote alcohol to anyone under 21 (we never show alcohol ads to users under 21); disparage competitors; use other people’s trademarks or photos without permission; or include discriminatory, sexual, violent or otherwise objectionable content.
- Review. We may review, reject, pause or remove any ad at any time. Rejected ads are not charged.
- Billing and results. Ads are charged as described in the Portal when you create the campaign, using our own counts of impressions and taps. We don’t guarantee any number of impressions, taps or visits.
7. Analytics
Analytics in the Portal are aggregated statistics about your restaurant and dishes. They count ratings diners have not set to private, never name or show an individual diner, never include diners’ contact details or locations, and hide averages when too few diners are involved. The Portal also shows the reviews diners chose to share with everyone, as anyone can see them in the app. You may use analytics for your own business. You may not attempt to identify individual diners, resell analytics, or extract data from the Portal by automated means.
8. Reporting problems
You can report problems with your listing, ratings or photos through the Portal. We aim to respond to reports from verified restaurants within two business days, but we don’t guarantee a particular outcome or timeline.
9. Suspension and termination
You can stop using the Portal at any time and ask us to remove your team’s access. Your restaurant’s public listing and diners’ ratings will remain on TasteRex. Your Restaurant Content may remain unless you ask us to remove it, though we may keep factual information (such as name, address and dish names) needed for diners’ ratings to make sense.
We may suspend or end your Portal access if you break these terms, if your claim turns out to be unauthorised, if payment fails, or if required by law. Sections 3 (Dietary and allergen information, and the licence as stated), 4, 10, 11 and 12 survive.
10. Disclaimers and limitation of liability
The Portal, analytics and ads are provided “as is”. To the fullest extent permitted by law, TasteRex disclaims all warranties, including that analytics are complete or error-free, or that ads will produce any result. TasteRex will not be liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total liability for all claims relating to the Portal is limited to the fees you paid us in the 12 months before the claim arose.
11. Indemnity
You will defend, indemnify and hold harmless TasteRex and its owners, employees and agents from claims, losses and expenses (including reasonable legal fees) arising from Restaurant Content (including dietary and allergen information), your ads, your breach of these terms, or your dealings with diners.
12. Governing law and disputes
These Restaurant Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and both parties consent to their jurisdiction. Each party waives any right to a jury trial and to participate in a class action relating to these terms.
13. Changes
We may update these Restaurant Terms. We’ll tell you in the Portal or by email at least 30 days before a material change takes effect. Continuing to use the Portal after that date means you accept the change.
